For the purposes of Listing Rule 7.12.1 of the Main Board/Debt Market Listing Rules, Tourism Holdings Limited
(THL) advises that the following securities have been issued:

the transaction whereby THL acquired

Terms of issue The shares were issued on the same
terms as existing ordinary shares in
THL. The shares are subject to a trading
restriction as set out in an escrow deed
entered into between THL and the
vendors of the shares in El Monte
Rents, Inc. Under that escrow deed,
each of the vendors must retain legal
and beneficial ownership of all its
shares until 1 September 2017, not less
than two-thirds of its shares until 1
March 2018, and not less than one third
of its shares until 1 September 2018,
except in specified circumstances.
