These Terms and Conditions ("Terms") govern your access to and use of NZXplorer (nzxplorer.co.nz) and its associated platforms (charitydata.co.nz, iwidata.co.nz, publicdata.co.nz), collectively the "Site", operated by Pangaea Ventures. By accessing or using the Site, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not access or use the Site.

Unless otherwise indicated, the Site and its content (including but not limited to text, graphics, logos, data compilations, software, and design) are owned by NZX Governance Explorer and are protected by copyright, trademark, and other intellectual property laws.

The underlying data displayed on the Site is sourced from publicly available NZX announcements, company disclosures, and other public sources. We make no claim of ownership over this public data. However, our compilation, analysis, and presentation of this data is protected by intellectual property rights.

You may not copy, reproduce, distribute, or create derivative works from Site content without our express written permission, except as permitted for personal, non-commercial use.

• Data is extracted from public sources using automated and manual processes
• Extraction errors, formatting issues, or source document errors may occur
• Updates may be delayed between source publication and Site availability
• Historical data may be incomplete or missing
• Calculated metrics and scores are based on available data and specified methodologies

We are not a licensed financial adviser under the Financial Markets Conduct Act 2013 (New Zealand). Nothing on this Site should be construed as a recommendation to buy, sell, or hold any securities.

To the maximum extent permitted by law, NZX Governance Explorer and its operators, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of (or inability to access or use) the Site
• Any errors, inaccuracies, or omissions in Site content or data
• Any investment or financial decisions made based on Site information
• Any unauthorized access to or use of our servers or personal information
• Any interruption or cessation of transmission to or from the Site

We reserve the right to modify, suspend, or discontinue the Site (or any part thereof) at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Site.

We may also revise these Terms from time to time. The most current version will always be available on this page with an updated "Last updated" date. By continuing to use the Site after changes are posted, you agree to be bound by the revised Terms.

Without limiting the generality of the Prohibited Activities above:

• No bulk extraction: You may not extract, download, or collect a substantial portion of the Site's data through any means (automated or manual), whether in a single session or through repeated access over time
• No redistribution: You may not redistribute, resell, sublicense, or make available our data, analytics, scores (including GRS, ESG, ICS, DSS, AQS, VQS scores), or data compilations to third parties without a commercial data licence
• No competing use: You may not use data from this Site to build, enhance, or operate a product or service that competes with NZXplorer or its associated platforms
• Monitoring: We monitor access patterns and reserve the right to block, throttle, or terminate access for any user or IP address engaged in systematic data extraction
• Data licensing available: If you require bulk data access, integration, or redistribution rights, please contact us at hello@nzxplorer.co.nz for commercial licensing options

We provide a public API at /api/v1/ for programmatic access to our data. API usage is subject to:

• Per-minute rate limits based on your subscription tier (Free: 10/min, Pro: 100/min, Enterprise: 500/min, Institutional: custom)
• Daily request limits apply (Free: 1,000/day, Pro: 50,000/day, Enterprise: 500,000/day, Institutional: 2,000,000/day)
• API keys must not be shared or published publicly
• Data accessed via the API is subject to the same disclaimers and limitations as website data
• We reserve the right to revoke API access for abuse, excessive usage, or violation of these Terms
• Webhook alert subscriptions must point to endpoints you own or control

Paid subscriptions (Pro, Enterprise, Institutional) are processed via Stripe. By subscribing:

• You agree to pay the applicable subscription fees as displayed at the time of purchase
• Subscriptions renew automatically unless cancelled before the renewal date
• You can manage your subscription and cancel at any time via your account page or Stripe billing portal
• Refunds are handled on a case-by-case basis — contact hello@nzxplorer.co.nz
• We reserve the right to change pricing with reasonable notice to existing subscribers
