Voting Rights and Capital

In accordance with Rule 5.6.1 of the Disclosure and Transparency Rules (‘the Rules’),
we would like to notify the market of the following:

The capital of Henderson Far East Income Limited, as at 31 January 2017, consisted
of 115,560,564 Ordinary Shares with voting rights. The Company does not hold any
shares in treasury. Therefore, the total number of voting rights in Henderson Far East
Income Limited is 115,560,564. This figure may be used by shareholders as the
denominator for the calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in, Henderson Far East Income
Limited under the Rules.

Notifications to Henderson Far East Income Limited (the “Company”) under DTR
5.1.2R (notification or the acquisition or disposal of major shareholdings) should be
