Details of the transactions or other events requiring disclosure:
1. Graeme Keith Jackson is sole director and shareholder of Cooks Investment Holdings
Limited (CIHL).
2. CIHL entered into a Regulation Agreement with certain shareholders in Cooks Global
Foods Limited (CGF) dated 13 January 2016 (the Agreement) whereby CIHL held the

legal interest in CGF shares as bare trustee for the CGF shareholders. The term of the
Agreement has ended.
3. CIHL has on the date of this notice transferred the legal interest in 24,286,627 fully paid
ordinary shares in CGF (Shares) to Yunnan Metropolitan Construction Investment Group
Co Limited (YMCI). The Shares are transferred in consideration of the termination of the
bare trustee arrangement with YMCI and in accordance with the terms set out in the
Agreement.
4. Graeme Keith Jackson, Patricia Frances Jackson and Phillip Mack Picot together are an
investor in CIHL and have a beneficial interest in 8,463,889 shares held in CIHL.
5. Graeme Keith Jackson also has a beneficial interest in 37,435,633 shares held by CIHL.
