Cooks Investment Holdings Limited (CIHL) entered into a Regulation Agreement with
certain shareholders in Cooks Global Foods Limited (CGF) dated 13 January 2016 (the
Agreement) whereby CIHL held the legal interest in CGF shares as bare trustee for the
CGF shareholders. The term of the Agreement has ended.
CIHL has on the date of this notice transferred the legal interest in 24,286,627 fully paid
ordinary shares in CGF (Shares) to YMCI. The Shares are transferred in consideration of

the termination of the bare trustee arrangement with YMCI and in accordance with the
terms set out in the Agreement.
