In accordance with Rule 5.6.1 of the Disclosure Guidance and
Transparency Rules (‘the DTRs’), we would like to notify the market of
the following:

The capital of Henderson Far East Income Limited, as at 28 February
2017, consisted of 115,660,564 Ordinary Shares with voting rights. The
Company does not hold any shares in treasury. Therefore, the total
number of voting rights in Henderson Far East Income Limited is
115,660,564. This figure may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in,
Henderson Far East Income Limited under the DTRs.

under DTR 5.1.2R (notification or the acquisition or disposal of major
