Proposals to migrate to UK tax residence and apply for UK investment trust status
T he C om pany currently earnsinvestm ent incom e from adiversified portfolio ofinvestm entsw ith
exposure to the A siaP acific region,m uch ofw hich issubject to overseasw ithholding taxes. T he
Board hasbeen exploring,w ith itsadvisers,the ability forthe C om pany to m itigate the levelofthese
w ithholdingtaxes.
In particular,the Board hasbeen advised thataU K residentcom pany isable to accesslow erratesof
w ithholding tax in som e jurisdictionsthan aJersey resident com pany,due to the greaternum berof
double tax treaty agreem entsbetw een the U K and overseasjurisdictions.T he Board hastherefore
concluded that,subject to appropriate tax,regulatory and shareholderapprovals,it w illbenefit the
C om pany and shareholdersifit becom esU K tax resident and becom esclassified asaU K investm ent
trustin orderto availitselfofthese treaties.
Furtherdetailsofthe proposals,once finalised,w illbe set out in acircularto shareholdersofthe
C om pany to approve,inter alia,certain changesto the articlesof association,w hich w ill be
published in due course.
