2018 Annual Shareholder Meeting: Results of Meeting
At Genesis Energy’s Limited (GNE) Annual Shareholder Meeting held in Auckland, on Wednesday 10
October 2018, all resolutions were decided by poll and the details of the number of votes cast in
person or by proxy were as follows:

This confirms Barbara Chapman as Genesis Energy’s Chair of the Board, re-election of Joanna Perry
and the election of James Moulder to Genesis Energy’s Board.
Independence of Directors
In accordance with NZX Listing Rule 3.3.3(a), the Board determined that those Directors who stood for
election, that is, Barbara Chapman, Joanna Perry and James Moulder are independent Directors. The
Board’s criteria for determining independence is consistent with the requirements set out in the NZX
Main Board Listing Rules.
The Board reconfirms that the other members of the Board, namely, Maury Leyland, Doug McKay,
Paul Zealand and Tim Miles, are independent Directors.
