Special and Annual Shareholders’ Meeting Results


PGG Wrightson Limited held its combined Special and Annual Shareholders’ Meeting in Christchurch

Shareholders were asked to vote on four resolutions. The results of the resolutions put to the meeting

are as follows:

Election of Directors

Ordinary resolution 1: Kean Seng U is a current Director and so retired in accordance with the NZSX

Listing Rules and being eligible, was re-elected as a Director.

Votes for: 448,886,483 (95.96%)

Votes against: 18,895,987

Abstained: 12,337,983

Ordinary resolution 2: Lim Siang (Ronald) Seah is a current Director and so retired in accordance with

the NZSX Listing Rules and being eligible, was re-elected as an Independent Director.

Votes for: 462,979,706 (99.00%)

Votes against: 4,663,271

Abstained: 12,477,476

Fixing of Remuneration of Auditors

Ordinary resolution 3: The Directors were authorised to set KPMG’s remuneration as PGG

Wrightson’s Auditor’s for the current financial year for the purposes of section 197 of the Companies

Act 1993.

Votes for: 472,871,062 (99.54%)

Votes against: 2,190,792

Abstained: 5,528,953


Sale of PGG Wrightson Seeds Holdings Limited

Special resolution: Shareholders approved the Special Resolution for the sale by PGG Wrightson

Limited of all of the shares in PGG Wrightson Seeds Holdings Limited.

Votes for: 462,798,990 (96.92%)

Votes against: 14,688,150

Abstained: 3,667,296
