Comvita determines Independent Directors

In accordance with the Listing Rules, the Board of Comvita (NZX: CVT) has determined that six out of
seven directors are independent as defined in the NZX Listing Rules.
Independent Directors:
• Neil Craig
• Luke Bunt
• Sarah Kennedy
• Murray Denyer
• Brett Hewlett
• Paul Reid
Non-independent Director because of disqualifying relationships:
• Xin Wang – General Manager of the Corporate Strategy and Development Department at
China Resources Enterprise Limited, part of the China Resources Group which includes China
Resources NG Fung Limited, who has a 10.05% shareholding in Comvita Limited.
The Board therefore determines that six out of the seven Directors of Comvita are Independent
Directors, including the Chairs of the Audit & Risk, and Remuneration & Human Resources
Committees.
