General Capital Limited announces Share Purchase Plan Details


General Capital Limited (“General Capital”) today announced that it has finalised the details
of its share purchase plan.
Up to $15,000 of new General Capital shares being offered to those shareholders with a
registered address in New Zealand at 5.00pm on 8 November 2018.
The Schedule closing time is 5.00pm on 3 December2018, with new shares scheduled to be
issued on 6 December 2018.
The issue price of the new shares will be 6.75 cents per share (the same price as a
placement of up to $1.75 million currently being made).
The share purchase plan is limited to the issue of a total of 37,182,084 shares totalling
$2,509,787. If applications are received above this total all applications will be scaled on a
pro rata basis.

Further details will be set out in the share purchase plan offer document dated 9 November
2018.

NOTICE OF OFFER OF SAME CLASS FINANCIAL PRODUCTS

General Capital Limited (General Capital) has announced that it will implement a share
purchase plan under which it will offer new fully paid ordinary shares of the same class
already quoted on the NZAX of NZX Limited (the SPP).

Pursuant to clause 20(1)(a) of Schedule 8 of the Financial Markets Conduct Regulations 2014
(FMC Regulations), General Capital advises that:

(i) General Capital is implementing the SPP in reliance upon the exclusion in clause 19 of
Schedule 1 of the Financial Markets Conduct Act 2013 (FMCA) and General Capital is
giving this notice under clause 20(1)(a) of Schedule 8 of the FMC Regulations.
(ii) As at the date of this notice, General Capital is in compliance with:
2.1 The continuous disclosure obligations that apply to it in relation to General
Capital listed shares;
2.2 Its “financial reporting obligations” within the meaning set out in clause 20(5)
of Schedule 8 of the FMC Regulations.

(iii) As at the date of this notice, there is no information that is “excluded information”
within the meaning set out in clause 20(5) of Schedule 8 of the FMC Regulations.
(iv) The SPP is not expected to have any material effect or consequence on the control of
General Capital.
