NOTICE OF OFFER OF FINANCIAL PRODUCTS OF SAME
CLASS AS QUOTED FINANCIAL PRODUCTS

Pursuant to clause 20(1)(a) of schedule 8 to the Financial Markets Conduct Regulations
2014


1. Pacific Edge Limited (NZX: PEB, “Pacific Edge”) is making an offer of ordinary shares for issue under
a placement undertaken in reliance on the exclusion in clause 19 of schedule 1 of the Financial
Markets Conduct Act 2013 (“FMCA”).

2. This notice is provided under clause 20(1)(a) of schedule 8 of the Financial Markets Conduct
Regulations 2014 (“Regulations”)

3. At the date of this notice:

(a) Pacific Edge is in compliance with the continuous disclosure obligations (as defined in the
Regulations) that apply to it in relation to the ordinary shares in Pacific Edge;

(b) Pacific Edge is in compliance with its financial reporting obligations (as defined in the
Regulations); and

(c) there is no information that is “excluded information” (as defined in the Regulations).

4. The offer and the acquisition of ordinary shares under the offer will not have any material effect or
consequence on the control (as defined in the FMCA) of Pacific Edge.
