Reason for the issue:

The New Shares were issued to stockholders of InterplX, Inc.
as part consideration for the merger between IndigoX Merger
Sub, Inc., and InterplX, Inc., in each case pursuant to an
Agreement and Plan of Merger dated 20 December 2018

Specific authority for the issue: Directors’ resolution dated 20 December 2018

Any terms or details of the issue:

The New Shares will be issued on the same terms as the
existing Shares on issue. The New Shares are subject to an
escrow period, pursuant to an Escrow Deed dated 20
December 2018, restricting the New Shares from being sold
before 30 June 2019.
