Commerce Commission clearance for Vodafone New Zealand acquisition

On 14 May 2019 Infratil announced that Brookfield Asset Management Inc. and it had executed a
conditional agreement to acquire Vodafone New Zealand Limited from Vodafone Group Plc for an
enterprise value of NZ$3.4 billion (the Acquisition).

The Commerce Commission has today granted clearance for the Acquisition.

Completion of the Acquisition continues to be conditional on Overseas Investment Office granting
consent. Infratil remains confident that OIO consent will be granted, and that completion is likely to
occur within the next two months.
