KATHMANDU HOLDINGS LIMITED – RETIREMENT OF DIRECTOR / APPOINTMENT OF NEW

DIRECTOR


The Chairman of Kathmandu Holdings Limited (ASX / NZX code KMD), David Kirk, today announced that

Director Sandra McPhee will retire from the Board in September 2019 and that Andrea Martens has been

appointed as a Director effective 1 August 2019.


Sandra McPhee has been a director of Kathmandu since the company’s Initial Public Offering in 2009.


Chairman David Kirk commented:


“We thank Sandra for the enormous contribution she has made as a member of the Board over the last ten

years and as Chair of the Remuneration Committee. Sandra has brought significant non-executive director

experience and knowledge of a wide range of consumer facing sectors to the board. Her insight and

judgement have been extremely beneficial for the Company.”


The new director joining the board is Andrea Martens who was identified after an extensive search

internationally and in Australia and New Zealand.


Andrea has substantial executive leadership experience having spent over 20 years working with some of the

world’s best known-brands and organisations. She is currently the CEO of ADMA, the peak body for data-

driven marketing in Australia and has previously held roles as the Global Chief Marketing Officer for beauty

brand Jurlique International, and Managing Director and VP Marketing, Home and Personal Care for Unilever

Australia and New Zealand. Andrea has previously held positions on the board of Unilever Australia and New

Zealand, Deputy Chair of the Australian Association of National Advertisers and as a Board Member of the

Advertising Standards Bureau.


A Member of the Australian Institute of Company Directors and named as one of the top 50 CMOs in Australia

by CMO Magazine, Andrea is also a passionate mentor, guiding emerging marketing leaders at The Marketing

Academy Australia and as a Member of the Wellbeing Reference Group for Pymble Ladies’ College in

Sydney.


David Kirk commented:

knowledge of consumer brand strategies. Her appointment adds important skills and experience to the board

as we continue to implement our Australian and global growth strategies. “


As required by the Company’s constitution and the NZX Listing Rules, Ms. Martens will hold office until the

Company’s next annual meeting on 22 November 2019, at which time she will resign and stand for election.
