Resolutions Voted at the 2019 Annual Meeting of Shareholders
All resolutions proposed at the Rakon Limited Annual Meeting of Shareholders held on 9 August 2019 received
a majority of votes and were decided by poll. The numbers and percentages of votes of shareholders entitled to
vote and voting on each resolution were as follows:
Ordinary Resolutions requiring a simple majority of votes of those shareholders entitled to vote and
voting, in person or by proxy.
1. Brent John Robinson re-election as a Director of Rakon Limited.
For: 127,111,847 99.02% Against: 1,258,764 0.98% Abstain: 16,604
2. Robert Keith Hamilton Watson re-election as a Director of Rakon Limited.
For: 127,941,434 99.66% Against: 435,781 0.34% Abstain: 10,000
3. Directors authorisation to fix the auditor’s remuneration for the following year.
For: 127,400,161 99.25% Against: 962,865 0.75% Abstain: 24,189
Special Resolution requiring 75% of votes of those shareholders entitled to vote and voting on the
resolution, in person or by proxy
4. Approval of amendments to Rakon Limited Constitution.
For: 128,051,924 99.82% Against: 236,825 0.18% Abstain: 98,466
The Board has determined that Director Robert Keith Hamilton Watson (who stood for re-election ) is an
independent Director and that Mr Bruce Irvine, Mr Keith Oliver and Ms Lorraine Witten are independent
Directors. The Board’s criteria for determining independence is consistent with the NZX Listing Rules.
