Paul Byrnes determined an independent director


The board has determined that, in view of the fact that Paul Byrnes is no longer a substantial
shareholder in the Company and that he relinquished the CEO role with the Company more than
three years ago, under the NZX and ASX listing rules Paul Byrnes is now an independent director.

Following this determination, the board comprises seven directors: a non-executive chairman,
four independent directors, two non-executive directors.
