h) Reason for issue: Pro rata issue to shareholders which the
Board believes will put Marlin in a better
position to grow, operate efficiently and
pursue other capital structure initiatives as
appropriate.

j) Any terms of the issue: Each warrant entitles the holder to
subscribe for one Marlin ordinary
share at the exercise price
by 5.00pm (New Zealand time)
on 6 November 2020
$0.94 per Warrant, to be adjusted
down for the aggregate amount per
Share of any cash dividends declared
on the Shares with a record date
during the period commencing on
the date of allotment of the Warrants
and ending on the last Business Day
before the final Exercise Price is
announced by Marlin.
