Fisher & Paykel Healthcare Board Chairman Tony Carter to retire in 2020
Auckland, New Zealand, 27 November 2019 - Fisher & Paykel Healthcare Board Chairman Tony
Carter has announced his intention to retire with effect from the close of the company’s annual
shareholders’ meeting in August next year. Current director Scott St John has been elected by the
Board to succeed Mr Carter as chairman.
Mr Carter has held the role of chairman at Fisher & Paykel Healthcare since April 2012 after joining
the Board in 2010. His retirement was signalled to the Board earlier this year and it is generally
expected that the company’s non-executive directors will serve for a period of approximately nine
years.
“I am delighted that Scott will succeed me, and he has the unanimous support of his fellow
directors. As the chairman of our Audit & Risk Committee, Scott has been a strong leader with
excellent corporate governance and commercial skills,” Mr Carter said.
Scott St John joined the board of Fisher & Paykel Healthcare in 2015 as an independent director.
He is currently Chancellor of the University of Auckland and a director of Mercury Limited, the
NEXT Foundation and Fonterra Cooperative Group Limited. He also held the role of Chief
Executive Officer of First NZ Capital, now known as Jarden, from 2002 to March 2017.
Scott St John acknowledged the great responsibility that goes with being elected to lead the Fisher
& Paykel Healthcare Board of Directors on behalf of all its stakeholders.

The company is undertaking a search for another independent director to replace Mr Carter and
will update the market in due course. Mr Carter’s outstanding contribution to Fisher & Paykel
Healthcare will be formally acknowledged at the annual shareholders' meeting next year.
