Director Resignation and Appointment. Resignation of CFO.

Gentrack Group Limited (NZX/ASX:GTK) (“Gentrack”) announces that:
• James Docking has resigned as a non-executive director effective 12th December
2019. The Board thanks Mr Docking for his contributions to Gentrack over more than
20 years, particularly as CEO from 2005 to 2016 and more recently as a non-
executive Director. The Board wishes Mr Docking well in his future endeavours.

• Darc Rasmussen has been appointed as a non-executive director effective 12th
December 2019. Darc is a seasoned enterprise software professional with over 25
years’ experience successfully building Software as a Service (SaaS) and Cloud
based businesses across global markets. His career covers senior leadership
positions at Infor, SAP, IntraPower (Trusted Cloud) and Integrated Research
(ASX:IRI). He was CEO of Integrated Research 2013-2017 and led that company
through a business transformation that delivered strong profit and shareholder value
growth. Darc is currently a Non-Executive Director at Objective Corporation
(ASX:OCL).

• Tim Bluett has resigned as Chief Financial Officer effective 31 January 2020. The
Board thanks Mr Bluett for his contributions to Gentrack and wishes him well in his
future endeavours. Recruitment of a replacement Chief Financial Officer is
underway.
