Details of transactions and events giving rise to relevant event Details
of the transactions or other events requiring disclosure:
1. Graeme Keith Jackson is the sole director and shareholder of Cooks Investment
Holdings Limited (CIHL). CIHL held the legal interest in shares of Cooks Global
Foods Limited (CGF) for a number of beneficial owners.
2. CIHL has transferred legal title to 6,576,480 shares to those beneficial owners for nil
consideration on the date of this notice. Accordingly the substantial product holders
no longer hold a relevant interest in those shares.
3. CIHL also held the legal interest in 23,366,418 CGF shares of which the substantial
product holders are the beneficial owners. CIHL has on the date of this notice
transferred those shares to the substantial product holders.
4. CIHL no longer has any relevant interest in any CGF shares on issue.
5. CIHL previously entered an Underwriting Agreement with CGF. CIHL has appointed
the substantial product holders as sub-underwriters for 34,430,766 ordinary shares
in CGF. CGF has today issued 34,430,766 ordinary shares to the substantial product
holders for $0.0775 per share.
