RETIREMENT OF DIRECTOR

Downer EDI Limited (Downer) announced today that Grant Thorne has retired as a
Non-executive Director of Downer.

The Chairman of Downer, Mike Harding, said Dr Thorne had made a significant contribution.

“Grant joined the Downer Board in July 2010 and provided leadership through his service on the
Zero Harm Committee, including as Chairman for a significant period, Audit and Risk Committee,
and Nominations and Corporate Governance Committee, and he has played an important role as
the long-term Chair of the Tender Risk Evaluation Committee. Grant also served as a Director of
Spotless.
