The new Options issued represent 100% of the Options in
existence immediately before the issue.
If, on vesting, all Options are exercised, the ordinary shares
issued would represent 3% of the ordinary shares in TAH
(based on the number of ordinary shares and Options
currently on issue).

Options are exercisable at a price determined by the Volume
Weighted Average Price for a Share on the NZX for the 20
Business Days prior to the Issue Date and will expiring 1 year
after an option vest.
The Options will vest (meaning they are able to be exercised)
in three tranches, subject to continued employment and
achievement of agreed performance targets by 27 September
2024, 27 September 2025, and 27 September 2026.
Any Ordinary Shares in Third Age Health Services Limited
issued on the exercise of the Options will rank equally in all
respects with all other Ordinary Shares on issue in Third Age
Health Services Limited

The Options are being issued to the newly appointed
Chief Executive Officer (CEO) and have been issued to
assist in retaining and motivating the CEO, and to align
the interests of the CEO with shareholders in order to
encourage shareholder value creation.
