ArborGen Holdings Announces Conditions of the
ArborGen ANZ Sale Transaction have been Satisfied

As announced on 1 November 2021 (https://www.nzx.com/announcements/381921), ArborGen Holdings
Limited (NZX: ARB) (the Company or ArborGen) has entered into an agreement to sell ArborGen’s New
Zealand and Australian businesses (ArborGen ANZ) for NZ$22.25m to Geyser Limited Partnership (since
renamed ArborGen ANZ Limited Partnership (the Purchaser)).
The transaction arose as a result of the strategic review being undertaken by the Company (as announced
on 30 June 2021 https://www.nzx.com/announcements/374791).
The transaction is conditional on:
 at least 75% of ArborGen ANZ’s permanent employees accepting the Purchaser’s offer of
employment; and
 either the board of Radiata Pine Breeding Company Limited (RPBC) approving the transfer of
ArborGen New Zealand Unlimited’s 2.34% shareholding in RPBC to the Purchaser or the other
shareholders of RPBC waiving their pre-emptive rights in relation to the transfer.
The Company confirms that both these conditions have now been satisfied and the agreement is now
unconditional.
Completion of the transaction is scheduled for 30 November 2021.
