Resignation of Non-executive directors
Ventia Services Group Limited (Ventia) announces the resignation of Non-executive
Directors, Mr Ignacio Segura and Mr Robert Cotterill, effective today. Mr Cotterill and Mr
Segura were appointed to the Board as CIMIC’s nominee directors in May 2016 and March
2021 respectively.

As a consequence of these resignations, Michael Cooper as alternate director for Mr Cotterill
and Mr Segura also resigns effective immediately.

Ventia has also received a Deed Poll from CIMIC, waiving certain rights which were provided
for under the Relationship Agreement between CIMIC, Apollo and Ventia, until September
2023, when it will be reviewed. CIMIC also undertakes in the Deed Poll not to vote on certain
matters including the election of directors during that period. The Deed Poll does not affect
Ventia’s or Apollo’s rights under the Relationship Agreement, as summarised in Ventia’s
prospectus for its initial public offering, dated 26
th
September 2021.

CIMIC’s interest in Ventia remains escrowed until the release of Ventia’s Full Year 2022
results, expected in February 2023, as summarised in the prospectus.

Ventia Chairman, David Moffatt, said that the resigning directors had brought valuable
contributions to the Board and thanked them for their service to Ventia during their tenure.

Mr Moffatt further noted that the Board regularly reviews its composition in the context of
skills, experience and diversity, which, notwithstanding the resignations of Mr Segura and Mr
Cotterill, remain strong.
