RETIREMENT OF DIRECTOR

Downer EDI Limited (Downer) announced today that Phil Garling AM will retire as a Non-executive
Director on 30 June 2022.

The Chairman of Downer, Mark Chellew, said Mr Garling had made a valuable contribution to
Downer over more than a decade.

“Phil joined the Downer Board in November 2011 and the company has successfully navigated
many challenges, and achieved significant growth, over the ensuing 11 years,” Mr Chellew said.

“Phil has provided invaluable leadership through his service on the Audit and Risk Committee,
Zero Harm Committee, Remuneration Committee and Tender Risk Evaluation Committee during
his tenure. He played a particularly important role as the Chair of the Major Rail Projects
Committee.

“On behalf of the Board, and our shareholders, I thank Phil for all that he has done for Downer and
wish him the best for the future.”
