Share Rights (“PSRs”) under Green Cross Health Limited’s (“GXH”) Performance Share Rights

Scheme (“Scheme”).

PSRs will vest if GXH meets certain

performance hurdles relating to the

growth of GXH’s earnings per share

over a period of three years (the

“PSR Period”), and the employee

remains employed by GXH for the

duration of the PSR Period.
