Details of transactions and events giving rise to ceasing of substantial holding
Details of the transactions or other events requiring disclosure: On 14 December 2022,
Elders Limited agreed to acquire 8,526,245 ordinary shares in PGW from BCA by way of an
off market trade for consideration of NZ$4.35 per share (being aggregate consideration of
NZ$37,089,165.75). Settlement has now occurred.
Additionally, between 25 July 2022 and 24 August 2022, BCA disposed of a relevant
interest in 474,670 ordinary shares in PGW for aggregate consideration of
NZ$2,090,424.15 by way of a number of on-market transactions.
