RIGHTS ISSUE CLEANSING NOTICE
New Talisman Gold Mines Limited (the Company) intends to undertake a rights issue of
new shares at NZ$0.018 or AU$0.017 per new share (the Offer). The Offer will be made
under section 708AA of the Corporations Act 2001 (Act) and clause 19 of Schedule 1 of the
Financial Markets Conduct Act 2013 (FMCA).
For the purposes of section 708AA of the Act, and clause 20(1)(a) of Schedule 8 to the
Financial Markets Conduct Regulations 2014 (FMCR) and the FMCA, the Company advises
that as at the date of this notice:
1 the Company will make the Offer to investors in Australia without disclosure under
Part 6D.2 of the Australian Corporations Act 2001 (the Act) in reliance on section
708AA(2)(f) of the Act and
ASIC Corporations (Non-Traditional Rights Issues) Instrument
2016/84
.
2 the Company has complied with the provisions of Chapter 2M of the Act as they
apply to the Company and section 674 of the Act.
3 there is no excluded information of the type referred to in subsection 708A(7) and
708AA(8) of the Act.
4 the Company is in compliance with:
4.1 the continuous disclosure obligations that apply to it under the FMCA in
relation to the Company’s quoted ordinary shares;
4.2 its “financial reporting obligations” within the meaning set out in clause 20(5)
of Schedule 8 of the FMCR.
5 there is no information that is “excluded information” within the meaning set out in
clause 20(5) of Schedule 8 to the FMCR.
The Offer is not expected to have any material effect or consequence on the “control” (as
defined in clause 48 of Schedule 1 to the FMCA) of the Company.
