Results of Gentrack Group Limited Annual Shareholder Meeting

At Gentrack Group Limited’s shareholder meeting, held online today, shareholders
were asked to vote on 3 resolutions, which were supported by the Board. As required
by NZX Listing Rule 6.1, all voting was conducted by a poll.

The resolutions passed by shareholders were:

1. That, for the purposes of NZX Listing Rule 4.2.4, the terms of the remaining
performance rights to be issued to Gary Miles be amended in accordance with the
terms and conditions set out in this Notice of Meeting.

2. That the directors are authorised to fix the remuneration of Ernst & Young
as auditor for the ensuing year.

3. That Darc Rasmussen be re-elected as a director of Gentrack Group Limited.
