REORGANISATION OF SHAREHOLDING BY WATERMAN CAPITAL

My Food Bag Group Limited (My Food Bag) has been advised by its largest shareholder, Waterman Fund
3 LP (Waterman), that it intends to transfer its 15.7% shareholding in My Food Bag to a new limited
partnership to be known as Long Term Food Group Limited Partnership (LTFG). Waterman has advised
that this restructure is largely administrative in nature and establishes a more appropriate standalone
vehicle which it will use to hold its long-term strategic stake in My Food Bag. My Food Bag is advised
that LTFG’s limited partners will comprise existing Waterman limited partners and that LTFG will be
managed by Waterman Capital on an ongoing basis.

We understand the transfer is anticipated to be completed on 31 March 2023.
