Shareholder class action
A class action has been filed against Downer EDI Limited (Downer) in the Federal Court of
Australia, New South Wales Registry.

Downer understands that these proceedings have been brought on behalf of persons who acquired
an interest in Downer shares during the period 1 April 2020 to 27 February 2023.

The statement of claim includes allegations that Downer:
• breached its continuous disclosure obligations under the Corporations Act and ASX Listing
Rules by not disclosing to the market information relating to, and
• engaged in misleading and deceptive conduct or made false or misleading statements under
the Corporations Act, the ASIC Act and the Australian Consumer Law by making or failing to
qualify various representations relating to,
a maintenance contract in its Australian Utilities business and Downer’s financial performance and
systems and controls.

Downer intends to defend the proceedings.
