In relation to the licencing agreement announced to the market on 15 December
2022, Chang Ku EE, a Director of Southern Charter Financial Group Limited,
agreed to transfer 10% of his holding in Southern Charter Financial Group
Limited to the Inventor. Accordingly, On 11 April 2023, Chang Ku EE conducted an

off-market transfer of 44,280,927 ordinary shares to KYCZ Limited for a
consideration of NZ$1.00.
