ACTION MANUFACTURING TO ACQUIRE TRANSCOLD NZ FOR $5.4M

thl advises that Action Manufacturing has entered into an agreement to purchase Transcold New Zealand
for a purchase price of $5.4M.

Chief Executive Officer of Action Manufacturing, Chris Devoy, said “Transcold is a leader in New Zealand’s
transport refrigeration industry, providing quality refrigeration and tail lift solutions for truck and trailer
vehicles from premises in Auckland and Christchurch. The business is complementary to Action’s other
brands, Fairfax and Freighter, and enables Action to provide customers a more complete solution from
manufacturing to refrigeration and servicing.”

The transaction is conditional on landlord and material contract counterparty consents and is expected to
complete at the end of May 2023.
