John McMahon re-appointed NZX Board director

10 May 2023 – The NZX Board today announced that experienced markets practitioner and former NZX
director John McMahon has been re-appointed as a NZX Board director, effective immediately.

NZX Board Chair James Miller said he was delighted Mr McMahon was re-joining the NZX Board.

“John is an extremely talented individual with a passion for and great understanding of New Zealand’s
capital markets,” Mr Miller said. “Alongside his impeccable stock broking experience, John also brings
funds management expertise.

“He has extensive governance and leadership experience in New Zealand and Australia, specifically
working with small to medium-sized listed companies in the technology sector. This includes being Chair
of NZX-listed companies Solution Dynamics and Vital. John is also a non-executive director and Chair of
the Audit and Risk Committee of NZX-listed AoFrio.

“John resigned from the NZX Board in late 2021 to enable him to assume executive director
responsibilities at a small cap NZX-listed company he chairs where the previous Chief Executive had a
terminal illness. At the time, John’s executive responsibilities affected his ability to manage other Board
responsibilities, including NZX.

“I am thrilled John now has the capacity to once again serve on the NZX Board as his considerable
markets experience and all-round expertise will assist in the future direction and growth of the company.”

As required by Listing Rule 2.6.2, the NZX Board has determined that Mr McMahon is independent for the
purposes of Listing Rule 2.6.1. Mr McMahon will put himself forward for election at the 2024 Annual
Shareholders Meeting.


About John McMahon
John has extensive industry experience in the technology sector, company turnaround and
transformation, and entrepreneurial small cap governance. He has spent more than 20 years in the
Australasian equity markets, predominantly as an equity analyst (covering a broad range of industries),
and was Head of the Equity Desk at ABN AMRO. In wholesale equities, John has worked for CS Boston,
BZW, Morgan Stanley, ABN AMRO, and Walker Capital, was Managing Director of ASB Securities for
three years. He now manages his own investment portfolio. He has a Bachelor of Commerce (Honours),
an MBA and is a CFA (Chartered Financial Analyst) charterholder.
