Appointment of Director

The Board of Scales Corporation Limited is pleased to announce the appointment of Tony Batterton
as an Independent Non-Executive Director of the company. Tony’s appointment is effective from 22
August 2023.

Tony was previously a member of the Scales’ Board prior to the company listing on the NZX, having
joined in 2011 following Direct Capital’s acquisition of a majority share in Scales. Tony retired from the
Board when Direct Capital reduced their shareholding at the time of Scales’ listing on 24 July 2014.

Tony has almost 30 years private equity and investment banking experience in New Zealand with
Evergreen Partners and Direct Capital, and in London with HSBC Investment Bank. Prior to this he
qualified as a Chartered Accountant with Price Waterhouse.

Tony is currently an Independent Non-Executive Director of Briscoe Group Limited, where he is also
Chair of the Audit & Risk Committee. In addition to this role, Tony is currently a Partner and Director
of Evergreen Partners and a Non-Executive Director of NZ Fine Touring Group.

the Board. Tony’s appointment completes the current Board refresh process, which commenced in
2021.”

In accordance with Scales’ constitution, Tony will retire from office at the next Scales’ Annual
Shareholders’ Meeting and will be eligible for election at that meeting. In accordance with Listing Rule
2.6.1, the Board has determined that Tony will be an Independent Director. Tony will also join Scales’
Audit & Risk Management Committee.
