When reconciling MHJ's records for FY23, the Company Secretariat team became aware that these out of cycle MHJAB
Share Rights were issued to an employee (not a KMP or Associate) under the Michael Hill Employee Incentive Plan. MHJ
filed this notification as soon as practicable after becoming aware.
MHJ believes the arrangements it has in place relating to share rights being granted under its Incentive Plan are
adequate. However, to ensure this does not occur again, MHJ has refreshed its internal approval processes in relation to
any future share rights being granted.
