Fisher & Paykel Healthcare Board Chair Scott St John to retire in 2024

Auckland, New Zealand, 8 March 2024 – Fisher & Paykel Healthcare Board Chair Scott St John has

announced his intention to retire from the Board with effect from the close of the company’s annual

shareholders’ meeting in August this year. The Board has elected current director Neville Mitchell to

succeed Mr St John as Chair.

Mr St John has held the role of Chair since August 2020 after joining the Board in 2015. It is generally

expected that the company’s non-executive directors will serve for a total period, including re-elections,

of approximately nine years.

Mr St John has led the Board during a transformational period for the company. Under his leadership,

Fisher & Paykel Healthcare supplied products that helped millions of patients during the pandemic,

purchased land for a second New Zealand campus and expanded its manufacturing footprint in Mexico

and China.

“I’m grateful to have played a part in the company’s growth trajectory and to have worked alongside an

exceptional team,” said Mr St John. “Neville will be an excellent Board Chair. He has a strong track

record in the medical devices industry and has outstanding corporate governance experience. I am

confident the company will continue to thrive under his leadership.”

Mr Mitchell joined the Board of Fisher & Paykel Healthcare in November 2018 as an independent

director. From 1995 to 2017, he was the Chief Financial Officer and Company Secretary of Cochlear, a

global leader in implantable hearing solutions, and he played a key role in the company’s financial

management and global expansion.

He is currently a non-executive director of Sonic Healthcare and Sigma Healthcare, and is a former

director of The Board of Tax, South Eastern Sydney Local Health District, Osprey Medical and Sirtex

Medical.

Mr Mitchell said it would be a privilege to lead the Board of Directors following Mr St John’s retirement.

“Fisher & Paykel Healthcare is a unique and innovative business, headquartered in New Zealand and

with an unwavering commitment to understanding and meeting the needs of patients around the world.

Scott has led the Board during a pivotal moment in the company’s history, and he has helped to build

strong foundations for the future. I look forward to contributing to the company’s growth and success,”

said Mr Mitchell.

The Board will commence a search to find a replacement director for Mr St John with the skills and

experience to complement other members of the Board. Mr St John’s outstanding contribution to Fisher

& Paykel Healthcare will be formally acknowledged at the annual shareholders’ meeting in August.
