CHANGE OF AUDITOR

Downer EDI Limited (Downer) today announced that, following the completion of a thorough tender process,
the Board of Directors has resolved to appoint PwC as auditor of Downer, with effect from today.

This appointment follows the cessation of KPMG as Downer’s auditor, with KPMG having identified a conflict
of interest after Downer’s announcement on 4 March 2024.

A resolution will be put before shareholders at Downer’s 2024 Annual General Meeting to ratify the
appointment of PwC.
