Annual Shareholders’ Meeting
EROAD intends to hold its annual shareholders’ meeting (ASM) on Wednesday 26 June 2024 at
1:00pm at Eden Park, Loyalty Lounge, 42 Reimers Ave, Kingsland, Auckland 1024.
EROAD’s Remuneration Report
During FY24, the NZX issued guidance on remuneration reporting by publishing its NZX Remuneration
Reporting Template. EROAD intends to adopt the new template for FY24, which we expect to be the
approach taken by many other NZX listed issuers. The FY24 Remuneration Report will be included in
the Annual Report expected to be published at the same time as the company’s FY24 results release
on 23 May 2024.

Consequently, EROAD will not present a non-binding Say on Pay resolution vote to shareholders at its
2024 ASM. As a New Zealand registered company, EROAD will adhere to the NZX guidance. It is
notable that the NZX Corporate Governance Institute, responsible for the development and
recommendation to NZX of the Remuneration Reporting Template, did not recommend that an
equivalent to the Australian Say on Pay regime be introduced for NZX listed issuers.

EROAD remains dedicated to upholding a fair and merit-based approach to incentivising and

Director Nominations
For the purposes of NZX Listing Rule 2.3.2, the closing date for director nominations is Monday 20 May
2024. All nominations must be received by 5.00pm on the closing date.
Nominations must be made by a shareholder entitled to attend and vote at the ASM.
