BIF – Change of BIF Investment-Committee Membership

The Manager is pleased to confirm that Nicolas Williams is to be appointed to the Booster Innovation
Fund Sub-Committee with effect from 30 July 2024. This will coincide with Nic Craven (Chief Investment
Officer) stepping down from the Booster Innovation Fund Sub-Committee, and who will continue to
provide oversight from his ongoing role at the Booster Investment Management Limited Investment
Committee.
Nicolas Williams has recently joined Booster as Head of Direct Investments. Nicolas has over 20 years of
investment and commercial experience spanning corporate strategy, operations and capital markets.
Nicolas has held senior roles at Macquarie, NZ Treasury and Z Energy, as well as a number of governance
and advisory roles. Acting at times as both advisor and principal, Nicolas has completed corporate
transactions with an aggregate capital value of over NZ$8 billion across a wide range of industries and
geographies
The Booster Innovation Fund PDS supplementary document has been updated and registered. A copy of
this is attached.
Subsequent to this change taking effect, the following are identified as Directors and Senior Managers for

Brendon brings 30 years of financial markets experience, working in both the private and
government sectors. Brendon has held senior roles with New Zealand Treasury, Westpac
Banking Corporation, and the Rural Bank.
From 25 June 2024 an update to the Booster Innovation Fund Board of Directors on page 35. This now includes
Dianne Day’s appointment as a Director to the Manager’s Board of Directors. The changes are as follows:

Dianne Day, Sydney – appointment effective from 1 July 2024

Dianne is an independent director and is an accredited professional trustee with significant
experience in the investment management industry. Dianne spent a number of years
in senior commercial roles in New Zealand and Australia and the past 10 years as a
professional independent trustee for a number of regulated pension schemes in the UK.
Dianne’s commercial and fiduciary experience combine to offer a unique blend of business
expertise and customer insight to her board appointments.
From 21 February 2024 the Booster Innovation Fund Sub-Committee on page 36 has been updated to remove
Brendon Doyle as an Investment Committee member. The changes are as follows:

Audit, Risk and Compliance Committee. Richard has over 30 years of risk and financial

knowledge of the New Zealand regulatory regime, and continues to practice as a consultant
assisting organisations respond positively to regulatory change.
