On 17 July 2014, through a capital reduction scheme of arrangement, the number of Millennium &
Copthorne Hotels New Zealand Limited’s (“MCK”) ordinary shares was reduced from 349,598,066 to
105,578,290. This equated to 698 ordinary shares being cancelled for every 1,000 ordinary shares
held by MCK shareholders. As a result, the ordinary shares held by CDLHH NZ in MCK was reduced
from 245,493,635 to 74,139,077. CDLHH NZ had further acquired 604,000 ordinary shares from a
Non-Executive Director on 11 September 2017.
