Comvita response to media reporting
Comvita Limited (NZX: CVT) is aware of reporting in certain media sources that Comvita founder, Alan Bougen, is
representing a syndicate of shareholders who purport to have sufficient shareholder support to veto the Scheme vote and
to provide active and committed support for a funding proposal.
Comvita wishes to be clear that, at this time, no information has been provided to Comvita to support these statements
made by Mr Bougen and no funding proposal has been received from this group.
Mr Bougen has not provided Comvita with any information as to who those shareholders are that he purports to
represent.
Any Competing Proposal1 received by Comvita would be assessed and progressed in accordance with the Scheme
Implementation Agreement signed with Florenz, which accompanied the company’s announcement on 18 August 2025.
Shareholders should carefully consider the detailed information provided in the Scheme Booklet, including the Directors’
Recommendation and the Independent Adviser’s Report on the merits of the Scheme.
The Board continues to unanimously recommend that shareholders vote in favour of the Scheme with Florenz, in the
absence of a Superior Proposal.
