Notice of dominant ownership under rule 51 of the Takeovers Code
1. We refer to the takeover offer by Finaccess Restauración, S.L. (Finaccess) dated
14 October 2025 (the Offer) for all the fully paid ordinary shares in Restaurant Brands New
Zealand Limited (Restaurant Brands) that it does not already hold.
2. Finaccess has now received acceptances of the Offer in respect of the ordinary shares in
Restaurant Brands which, on registration of the transfer of those shares (when taken together
with the ordinary shares in Restaurant Brands already owned by Finaccess) will result in
Finaccess owning 90% or more of the ordinary shares in Restaurant Brands.
3. As at 11.59pm (NZT) on 5 November 2025:
(a) Finaccess owned 111,257,479 Restaurant Brands Shares (89.178%), comprising
93,591,419 Restaurant Brands Shares (75.018%) owned immediately prior to the Offer and
17,666,060 Restaurant Brands Shares (14.160%) that have been accepted and paid for
under the Offer; and
(b) Finaccess had received acceptances under the Offer in respect of, in aggregate,
18,998,793 Restaurant Brands Shares, of which 1,332,733 (1.068%) remain unpaid.
Payment for those Restaurant Brands Shares will be made in accordance with the terms of
the Offer, whereupon Finaccess will become the registered holder and beneficial owner of
those Restaurant Brands Shares.
4. As at the time of this notice, as a result of acceptances of the Offer, Finaccess holds or controls
90% or more of the voting rights in Restaurant Brands. In accordance with Rule 51 of the
Takeovers Code, Finaccess therefore gives notice that it has become a "dominant owner" in
Restaurant Brands for the purposes of Part 7 of the Takeovers Code.
