Notice under Section 708A(5)(e) of the Corporations Act 2001(Cth)

Manuka Resources Limited (ASX: MKR), (NZX: MKR) (Company) advises 165,558,973 fully paid
ordinary shares (Shares) at an issue price of $0.075 per Share were issued to sophisticated and
professional investors pursuant to the Placement announced on 21 October 2025 and following
Shareholder approval at the 27 November 2025 Annual General Meeting.

The Shares are being issued without disclosure to investors under Part 6D.2 of the Corporations Act
2001 (Cth) (Act).

The Company gives notice under section 708A(5)(E) of the Act that:

• the Shares were issued without disclosure to investors under Part 6D.2 of the Act;
• as at the date of this Notice, the Company has complied with:
(a) the provisions of Chapter 2M of the Act as they apply to the Company; and

(b) section 674, of the Act; and

• as at the date of this Notice, there is no information that
(c) has been excluded from a continuous disclosure notice in accordance with the ASX
Listing Rules; and

(d) investors and their professional advisers would reasonably require for the purpose
of making an informed assessment of:

o the assets and liabilities, financial position and performance, profits and losses
and prospects of the Company; or

o the rights and liabilities attaching to the Securities.
