RIGHTS ISSUE SHARES ALLOTTED / SHORTFALL BOOK BUILD
Enprise Group Limited (NZX: ENS) announces its Right Issue closed at 5pm on 23 December 2025.
Enprise has allotted 1,729,277 new shares, equating to total capital raised of NZD 778,175 which is
86.24% of the proposed raise.
The funds advanced under this facility are to be applied towards the purposes outlined in the offer
document.
A Capital Change Notice accompanies this announcement.
In accordance with the offer document, the shortfall of 275,228 shares is available for placement at a
price of not less than NZD 0.45 or AUD 0.40 each and otherwise on terms and conditions that are not
more favorable to the person(s) to whom the shortfall shares are placed than the original offer.
Expressions of interest to bid for the shortfall (the Bookbuild) should be sent to Elliot Cooper, CFO, at
email address elliotc@enprisegroup.com before 5pm on Wednesday 7 January 2026. Following the
Bookbuild, Enprise may place any remaining shortfall in accordance with the NZX Listing Rules.
Enprise will account to relevant shareholders that did not apply for shares comprising the shortfall for
any premium bid in the Bookbuild above the offer issue price. However, there can be no assurance
that there will be any such premium.
