On 22 December 2025 Enprise Group (NZX: ENS) announced that Gina Tuzcet had been appointed to
its board.
Enprise wishes to clarify that it described Gina’s status in the 22 December 2025 announcement as a
non-executive director, rather than an independent director, because the board had determined that her
employment with Enprise’s substantial product holder, Nightingale Partners, could be perceived to
influence her capacity to act as an independent director.
