Scheme of Arrangement Update – Initial Orders
Bremworth Limited (NZX: BRW) advises that it has been granted initial orders from the High
Court in respect of the proposed scheme of arrangement between Bremworth and Floorscape
Limited ("Scheme"). A copy of the sealed initial orders is attached.
Bremworth does not expect to release the scheme booklet (incorporating a notice of meeting
and independent adviser's report) and confirm details of the shareholder meeting at which
shareholders will vote on the Scheme until after New Zealand Commerce Commission
clearance has been granted and Inland Revenue has issued a ruling on the tax implications of
the associated capital return.
Shareholders should also refer to Bremworth's announcement released 10 February 2026
regarding the revised estimate of the capital return component of the Scheme consideration.
