Subject: Ryman Healthcare Limited (“RYM”) exchange mechanism of RYM010 bonds for
RYM020 bonds


Message:
Further to the announcement made by Ryman Healthcare Limited (“RYM”) on 3 June 2026 and
8 June 2026:
(a) RYM is offering up to 100,000,000 with the ability to accept up to a further 50,000,000
bonds (RYM020 Bonds) to investors resident in New Zealand and institutional investors
(Offer); and

(b) RYM intends to include an exchange mechanism so that holders of the RYM010 Bonds
that hold RYM010 Bonds through a custodial account and who wish to apply for the
RYM020 Bonds (Custodial RYM010 Bondholders) may be able to exchange all or some
of their RYM010 Bonds for an equal number of RYM020 Bonds on the Issue Date (on a
one-for-one basis at a face value of NZ$1.00),

each on the terms set out in the Indicative Terms Sheet that was released over NZX by RYM on
Monday, 8 June 2026.

The terms and details of the RYM020 Bonds will be provided in a Quotation Notice, which will be
released to the market at such time as the relevant information becomes available.
