My Food Bag – Chair succession
My Food Bag Group Limited (NZX: MFB) advises that the Chair, Tony Carter, has indicated that he
intends to retire as a director of My Food Bag with effect on the date the company releases its half-
year financial results to the market, scheduled for 19 November 2026.
Mr Carter is stepping down following a review and reorganisation of his broader commitments
including other governance roles. Mr Carter has served as Chair since 2021 and has made a
significant contribution to My Food Bag during a period of considerable change for the business.
Mr Carter will continue to serve as Chair until his departure date.
In line with succession planning, and subject to his re-election by shareholders at the company's
upcoming annual meeting, the Board has determined that current independent director, Mark
Powell, will be appointed as Chair of My Food Bag, effective from Mr Carter's departure.
Commenting on his decision, Mr Carter said:
"After careful consideration, I believe now is the right time for me to step down. The company is in
a strong position having stabilised and now returned to profitable growth with minimal debt. I am
very grateful to have had the opportunity to lead this company. It has been a privilege. I will
remain a passionate supporter from the sidelines and as a shareholder. I have every confidence in
the Board and management team to continue guiding this great Kiwi business forward."
The company's annual meeting is scheduled to be held on 19 August 2026. The Board looks
forward to meeting with shareholders.
